Terms and Conditions for EigenH Reach

Please read these Terms and Conditions carefully before accessing or using EigenH Reach.
These Terms and Conditions (“Terms”) govern your access to and use of the EigenH Reach website, applications, AI-powered voice services, patient access workflows, scheduling functionality, dashboards, demonstrations and related services provided by EigenH LLC.
By accessing or using the Service, creating an account, subscribing to the Service, requesting a demonstration, or interacting with an EigenH-powered experience after receiving appropriate notice, you agree to these Terms. If you do not agree to these Terms, do not use the Service.
1. About EigenH Reach
EigenH Reach is an AI-powered front desk and patient access platform designed for clinics, dental offices, healthcare providers and similar organizations. Depending on the features enabled by a Clinic Customer, EigenH Reach may assist with:
- Answering incoming phone or digital inquiries;
- Providing general administrative information about a clinic;
- Collecting appointment-related information;
- Scheduling, rescheduling or cancelling appointments;
- Handling missed calls, callbacks and follow-up workflows;
- Routing inquiries to clinic personnel;
- Supporting patient intake and administrative communication workflows;
- Generating operational summaries or workflow insights for clinic staff; and
- Integrating with approved scheduling, communications or practice-management systems.
EigenH Reach supports administrative workflows. It is not a healthcare provider and does not provide medical diagnosis, medical advice, dental advice, treatment recommendations, prescriptions, emergency services or clinical decision-making.
2. Interpretation and Definitions
For purposes of these Terms:
Account means a registered account created to access all or part of the Service.
Affiliate means an entity that controls, is controlled by or is under common control with another entity.
Business Associate Agreement or BAA means a written agreement governing the handling of Protected Health Information where required under applicable healthcare privacy law.
Clinic Customer means a dental office, clinic, hospital, healthcare provider, healthcare organization or other business customer that purchases, tests or uses EigenH Reach.
Company, EigenH, we, us or our means EigenH LLC, a Delaware limited liability company.
Content means data, information, recordings, transcripts, text, files, instructions, configurations, appointment information, messages, feedback or other materials submitted to, generated through or processed using the Service.
Feedback means suggestions, comments, ideas or recommendations relating to EigenH Reach.
Patient or Caller means an individual who communicates with or seeks services from a Clinic Customer using an EigenH-powered phone, voice, messaging, scheduling or other workflow.
Protected Health Information or PHI has the meaning given under applicable U.S. healthcare privacy laws, including HIPAA, where applicable.
Service means EigenH Reach and related websites, applications, voice agents, communications workflows, appointment tools, dashboards, software, integrations, demonstrations and services provided by EigenH.
Subscription means paid access to the Service under a selected plan, order form, online purchase process or separate agreement.
Website means the EigenH website accessible at [www.eigenh.ai] and any related product pages operated by EigenH.
You means the person accessing or using the Service, or the organization on whose behalf that person accesses or uses the Service.
3. Who These Terms Apply To
These Terms may apply differently depending on how you interact with EigenH Reach.
3.1 Website Visitors and Prospective Customers
If you visit our Website, request information, sign up for a demonstration, join a waitlist or otherwise evaluate EigenH Reach, these Terms govern your use of those services.
3.2 Clinic Customers and Authorized Users
If you are a Clinic Customer or an authorized user acting on behalf of a Clinic Customer, these Terms govern your use of the Service unless a separate written agreement between EigenH and the Clinic Customer applies.
If a Clinic Customer has entered into a separate master services agreement, order form, pilot agreement, BAA or similar written agreement with EigenH, that written agreement will control to the extent of any conflict with these Terms.
3.3 Patients and Callers
If you interact with EigenH Reach while contacting a Clinic Customer, EigenH is providing administrative technology services supporting that Clinic Customer.
The Clinic Customer, and not EigenH, is responsible for:
- Medical or dental services;
- Clinical advice and treatment decisions;
- Provider availability and suitability;
- Medical records;
- Appointment acceptance and clinical follow-up;
- Insurance coverage decisions; and
- Compliance obligations applicable to the Clinic Customer’s healthcare practice.
Patients and Callers should contact the relevant Clinic Customer directly for questions relating to medical care, dental care, clinical records, treatment, insurance, prescriptions or appointment decisions.
4. Eligibility and Authority
4.1 Clinic Customers and Business Users
You may create an Account, subscribe to the Service or act on behalf of a Clinic Customer only if:
- You are at least 18 years old;
- You have legal capacity to enter into a binding agreement; and
- If acting for an organization, you are authorized to bind that organization to these Terms.
4.2 Patient Interactions Involving Minors
EigenH Reach may be used by a parent or legal guardian to contact a Clinic Customer regarding care or appointments for a minor. The relevant Clinic Customer remains responsible for obtaining any consents required for the minor’s care, treatment or medical records.
Children should not independently create business accounts or use EigenH Reach outside a parent-, guardian- or clinic-directed healthcare interaction.
5. Use of AI-Powered Voice and Administrative Services
5.1 AI Assistant Disclosure
EigenH Reach may use artificial intelligence and automated voice technology to respond to inquiries, capture appointment requests, perform administrative actions, summarize interactions or route communications.
You acknowledge that, when interacting with EigenH Reach:
- You may be communicating with an AI-powered assistant rather than a human staff member;
- The assistant may collect information necessary to complete an administrative request;
- The assistant may provide information supplied or approved by the Clinic Customer;
- Certain requests may require escalation to human clinic personnel; and
- The assistant may be unable to complete every request.
5.2 No Medical Advice or Clinical Decision-Making
EigenH Reach is not a physician, dentist, nurse, pharmacist, emergency responder or other licensed healthcare professional.
The Service must not be relied upon for:
- Medical diagnosis;
- Dental diagnosis;
- Treatment recommendations;
- Emergency care;
- Medication advice;
- Interpretation of symptoms;
- Clinical triage decisions; or
- Decisions about whether to seek treatment.
Any health-related information communicated through the Service is collected or routed for administrative purposes unless expressly handled by qualified clinic personnel.
5.3 Emergencies
Do not use EigenH Reach for emergencies.
If you believe you are experiencing a medical or dental emergency, including severe pain, uncontrolled bleeding, difficulty breathing, difficulty swallowing, severe swelling, chest pain, loss of consciousness or any potentially life-threatening condition, contact emergency services or seek urgent medical attention immediately.
EigenH is not responsible for emergency response, clinical triage or delays caused by using the Service for an emergency.
5.4 Appointment Requests and Confirmations
An interaction with EigenH Reach does not guarantee an appointment, provider availability, treatment, pricing, insurance acceptance or clinical outcome.
An appointment is confirmed only when confirmation is provided through the applicable clinic workflow or directly by the Clinic Customer.
Clinic Customers remain responsible for their schedules, availability, clinical acceptance policies, cancellations, rescheduling, patient communications and healthcare services.
6. Voice Calls, Recordings, Transcripts and Communications
6.1 Voice Interactions
The Service may allow Clinic Customers to receive or place calls using AI-powered voice functionality.
Depending on the workflow selected by a Clinic Customer and applicable law, communications may involve:
- Voice processing;
- Call metadata;
- Transcription;
- Call summarization;
- Appointment-information extraction;
- Quality review;
- Routing to clinic personnel; and
- Follow-up communications.
6.2 Recording and Transcription Notice
Where call recording or transcription is enabled, notice or consent will be provided where required by applicable law or clinic configuration.
Clinic Customers are responsible for configuring their workflows and obtaining legally required notices or consents for communications initiated or controlled by them.
You agree not to use the Service to record or process communications unlawfully.
6.3 SMS, Email and Callback Communications
If you provide a phone number or email address in connection with an appointment request, clinic inquiry, demonstration request or account, you may receive communications reasonably related to that request.
For Patients and Callers, these communications may include:
- Appointment confirmations;
- Rescheduling or cancellation information;
- Requested callbacks;
- Administrative follow-ups;
- Clinic instructions; or
- Responses to inquiries you initiated.
Marketing communications, where offered, will be subject to applicable consent and opt-out requirements.
7. Clinic Customer Responsibilities
If you are a Clinic Customer, you are responsible for your use of EigenH Reach and for the activities of your authorized users.
You agree that you will:
- Provide accurate clinic information, service details, office hours, provider availability, scheduling rules and escalation instructions;
- Ensure that information supplied to patients through the Service is accurate, appropriate and current;
- Obtain any permissions, patient notices or consents required for your use of the Service;
- Use the Service only in accordance with applicable healthcare, privacy, communications, advertising and consumer protection laws;
- Maintain appropriate internal procedures for reviewing appointments, callbacks, urgent requests, escalations and patient messages;
- Ensure that qualified clinic personnel address clinical questions or emergency concerns;
- Configure emergency and human-escalation messaging appropriately;
- Limit access to your Account to authorized personnel;
- Protect account credentials and notify EigenH of suspected unauthorized access;
- Ensure that any integrations, data imports or patient information you provide to EigenH are lawfully provided; and
- Not represent that EigenH provides clinical care, medical advice or emergency services.
You remain solely responsible for your healthcare practice, treatment decisions, patient relationships, clinical records and professional obligations.
8. HIPAA, PHI and Healthcare Data
8.1 Business Associate Agreement
If a Clinic Customer is subject to HIPAA and intends for EigenH to create, receive, maintain or transmit PHI on its behalf, the parties must enter into an applicable BAA before such PHI is processed through the Service, unless otherwise permitted by applicable law.
These Terms do not themselves constitute a BAA.
8.2 Priority of BAA
If a signed BAA applies and there is a conflict between these Terms and the BAA regarding PHI, the BAA will govern with respect to PHI.
8.3 Clinic Customer Instructions
Where EigenH processes PHI or patient information on behalf of a Clinic Customer, EigenH will process such information to provide the Service, comply with applicable agreements and follow lawful instructions from the Clinic Customer.
8.4 No Unapproved Use of PHI
EigenH will not sell PHI or use PHI for third-party behavioral advertising.
Unless expressly permitted under applicable law, applicable agreements and any required authorization, EigenH will not use PHI to train general-purpose artificial intelligence models.
9. Accounts and Security
Certain features of the Service may require an Account.
You agree to:
- Provide accurate, complete and current registration information;
- Maintain the confidentiality of your login credentials;
- Restrict Account access to authorized individuals;
- Promptly notify EigenH if you suspect unauthorized Account access or a security incident; and
- Accept responsibility for activity occurring under your Account unless caused by EigenH’s breach of its obligations.
EigenH may suspend or restrict Accounts where we reasonably believe there is unauthorized use, fraud, misuse, security risk or violation of these Terms.
10. Acceptable Use and Prohibited Conduct
You may use the Service only for lawful purposes and in accordance with these Terms.
You must not:
- Use the Service to provide unauthorized medical advice, clinical diagnosis or emergency response;
- Misrepresent the Service as a licensed healthcare provider;
- Upload, submit or process Personal Information or PHI without appropriate legal authority;
- Use the Service in violation of privacy, healthcare, telecommunications, recording, consumer protection or other applicable laws;
- Attempt to gain unauthorized access to the Service or related systems;
- Interfere with or disrupt the integrity, security or performance of the Service;
- Introduce malware, malicious code or harmful content;
- Reverse engineer, decompile, disassemble, copy or attempt to derive the source code of the Service except where legally permitted;
- Use automated means to scrape, extract or harvest data from the Service without written authorization;
- Use the Service to harass, abuse, impersonate, threaten or deceive others;
- Transmit unlawful, misleading, defamatory, infringing or harmful content;
- Use the Service to send unsolicited marketing communications in violation of applicable law;
- Circumvent usage limits, billing controls or access restrictions; or
- Use EigenH output to make decisions requiring licensed medical or dental judgment without review by qualified personnel.
We may investigate suspected violations and suspend or terminate access where appropriate.
11. Subscriptions, Fees and Billing
This section applies to Clinic Customers or other business users who purchase a Subscription directly from EigenH, unless a separate written agreement governs billing.
11.1 Subscription Plans
Certain portions of the Service may be offered on a paid subscription, usage-based, pilot, implementation-fee or other commercial basis.
The applicable pricing, billing frequency, usage allowances, enabled features and subscription term will be stated during purchase, in an order form or in another written agreement.
11.2 Billing
You agree to provide accurate and complete billing information and maintain a valid payment method where required.
You authorize EigenH or its payment processor to charge applicable fees, taxes and usage-based charges in accordance with your selected plan or written agreement.
11.3 Automatic Renewal
Where a Subscription is designated as automatically renewing, it will renew at the end of each subscription period unless cancelled before the renewal date in accordance with the applicable purchase flow, order form or written agreement.
11.4 Cancellation
Unless otherwise stated in an order form or separate agreement, you may cancel renewal of your Subscription by contacting EigenH at the email address listed in the Contact Us section.
Cancellation prevents future renewal charges but does not automatically provide a refund for fees already paid for the current subscription period.
11.5 Refunds
Except where required by law or expressly stated in a written agreement, paid fees are non-refundable.
EigenH may consider refund requests on a case-by-case basis at its discretion.
11.6 Fee Changes
EigenH may change Subscription fees upon reasonable prior notice. Changes will normally take effect at the beginning of the next renewal period unless otherwise stated in an applicable written agreement.
If you do not agree to a fee change, you may cancel your Subscription before the revised fee takes effect.
11.7 Taxes
Fees are exclusive of applicable taxes unless expressly stated otherwise. You are responsible for taxes associated with your purchase or use of the Service, excluding taxes based on EigenH’s net income.
12. Free Trials, Pilots and Demonstrations
EigenH may offer demonstrations, pilots, test environments, evaluation access or free trials.
Unless otherwise agreed in writing:
- Trial, pilot and demonstration access may be limited in duration, functionality, usage, integrations or support;
- EigenH may modify or discontinue trial or demonstration access at any time;
- Test environments should not be used for live patient care, live appointment handling or PHI unless expressly approved in writing and appropriately configured;
- No production service-level commitment applies to free trials, demonstrations or evaluation access; and
- Any transition from trial access to a paid Subscription will be subject to the applicable purchase terms or written agreement.
13. Integrations and Third-Party Services
The Service may integrate with or rely upon third-party services, such as:
- Telecommunications providers;
- SMS or email providers;
- Cloud hosting providers;
- Authentication providers;
- Scheduling systems;
- Practice-management systems;
- Electronic health record systems;
- Payment processors;
- Artificial intelligence or speech-processing providers; and
- Analytics or security providers.
Your use of third-party systems may be subject to separate terms, privacy notices, fees and obligations imposed by those third parties.
EigenH does not control third-party services and is not responsible for interruptions, inaccuracies, errors, changes or acts of third parties outside EigenH’s reasonable control.
Clinic Customers are responsible for obtaining any required permissions to connect third-party systems to EigenH Reach.
14. Customer Content and Data Rights
14.1 Ownership of Customer Content
As between EigenH and a Clinic Customer, the Clinic Customer retains its rights in Content it submits to or processes through the Service, including clinic-provided information and patient information controlled by that Clinic Customer.
14.2 License to Provide the Service
You grant EigenH a limited, non-exclusive right to host, process, transmit, reproduce and otherwise use Content only as reasonably necessary to:
- Provide and maintain the Service;
- Perform agreed workflows;
- Support integrations;
- Secure, troubleshoot and improve the reliability of the Service;
- Comply with applicable law and written agreements; and
- Carry out other uses expressly authorized by you.
This license ends when no longer necessary to provide the Service or comply with applicable obligations, subject to permitted retention, backup and legal requirements.
14.3 Responsibility for Content
You represent that you have all rights, permissions and lawful authority needed to provide Content to EigenH and allow EigenH to process it under these Terms and any applicable written agreement.
You are responsible for ensuring that your Content and instructions do not violate applicable law or third-party rights.
15. Intellectual Property
The Service, including its software, user interface, workflows, models, documentation, designs, text, graphics, logos, trademarks, product names, features and functionality, is owned by EigenH or its licensors and is protected by applicable intellectual property laws.
Subject to these Terms and payment of applicable fees, EigenH grants authorized users a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the Service during the applicable subscription, pilot or evaluation period solely for its intended business purpose.
Except as expressly permitted in writing, you may not copy, distribute, modify, sell, license, reproduce, create derivative works from or commercially exploit any part of the Service.
16. Feedback
You may voluntarily provide Feedback about the Service.
You grant EigenH a worldwide, perpetual, irrevocable, royalty-free and non-exclusive right to use, reproduce, modify, disclose and incorporate Feedback into our products and services without restriction or compensation to you.
Feedback must not include PHI, confidential patient information or information you are not authorized to disclose.
17. Confidentiality
If you receive non-public information about EigenH, including product roadmaps, pricing, demonstrations, technical information or business information identified as confidential or that reasonably should be understood as confidential, you agree to use reasonable care to protect that information and not disclose it except as permitted by EigenH or required by law.
This section does not replace any separate confidentiality, pilot, services or business associate agreement between the parties.
18. Privacy
Your access to and use of the Service is also subject to our Privacy Policy, which explains how we collect, use, disclose and protect Personal Information.

Clinic Customers may also provide their own patient privacy notices, HIPAA Notices of Privacy Practices or related disclosures. Where you are a Patient or Caller, you should review the applicable Clinic Customer’s privacy practices for information about its handling of your medical or dental information.
19. Suspension and Termination
19.1 Termination by You
You may stop using the Service at any time. Clinic Customers may cancel a Subscription or terminate services as provided in an applicable order form, online subscription process or separate written agreement.
19.2 Suspension or Termination by EigenH
We may suspend or terminate your access to the Service, in whole or in part, if:
- You breach these Terms;
- Your use creates a security, legal, privacy, patient safety or operational risk;
- Fees are overdue;
- We reasonably suspect fraud, unauthorized access or unlawful activity;
- Required by law or governmental authority;
- A third-party provider necessary to operate the Service discontinues support; or
- A separate agreement permits suspension or termination.
Where reasonably possible, we will provide notice before suspension or termination, unless immediate action is necessary to protect patients, users, systems, data or legal compliance.
19.3 Effect of Termination
Upon termination:
- Your right to access the Service will cease, except as otherwise provided in writing;
- Outstanding fees will remain payable;
- Each party’s continuing obligations, including confidentiality, intellectual property, liability, dispute resolution and lawful data-retention obligations, will survive; and
- Data handling following termination will be governed by the applicable written agreement, BAA, Privacy Policy and applicable law.
20. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
EIGENH DOES NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR COMPLETELY SECURE;
- EVERY CALL, MESSAGE, TRANSCRIPT, SUMMARY, APPOINTMENT REQUEST OR ROUTING ACTION WILL BE COMPLETED ACCURATELY;
- THE SERVICE WILL REPLACE HUMAN CLINIC STAFF;
- THE SERVICE WILL IDENTIFY OR RESPOND APPROPRIATELY TO EVERY URGENT OR EMERGENCY SITUATION;
- INFORMATION PROVIDED BY A CLINIC CUSTOMER IS ACCURATE, COMPLETE OR CURRENT;
- ANY APPOINTMENT REQUEST WILL RESULT IN A CONFIRMED APPOINTMENT;
- USE OF THE SERVICE WILL PRODUCE SPECIFIC REVENUE, PATIENT, OPERATIONAL OR CLINICAL OUTCOMES; OR
- THE SERVICE WILL MEET EVERY LEGAL OR REGULATORY REQUIREMENT APPLICABLE TO A CLINIC CUSTOMER’S PARTICULAR OPERATIONS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EIGENH DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
NOTHING IN THESE TERMS LIMITS RIGHTS OR WARRANTIES THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EIGENH AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EIGENH’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF:
- THE AMOUNTS PAID BY THE APPLICABLE CLINIC CUSTOMER TO EIGENH FOR THE SERVICE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED UNITED STATES DOLLARS (US $100) IF NO AMOUNTS WERE PAID.
These limitations do not apply to liability that cannot be limited under applicable law or to obligations expressly stated in a separately signed written agreement.
For clarity, EigenH is not responsible for medical diagnosis, treatment, provider decisions, patient care, emergency response or acts or omissions of a Clinic Customer or healthcare professional.
22. Indemnification by Clinic Customers
If you are a Clinic Customer, you agree to defend, indemnify and hold harmless EigenH and its Affiliates, officers, employees and service providers from and against third-party claims, damages, liabilities, costs and expenses, including reasonable attorneys’ fees, arising from or related to:
- Your healthcare services, clinical decisions or patient relationships;
- Your Content, instructions or clinic-provided information;
- Your failure to obtain legally required permissions, notices or consents;
- Your unlawful use of call recording, communications, PHI or patient information;
- Your breach of these Terms or an applicable written agreement; or
- Your violation of applicable law or third-party rights.
This obligation does not apply to the extent a claim is caused by EigenH’s breach of its applicable written obligations, gross negligence or willful misconduct.
23. Governing Law and Dispute Resolution
These Terms will be governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute relating to these Terms or the Service by contacting EigenH at the contact information below.
Unless prohibited by applicable law or governed by a separate written agreement, any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Delaware, and each party consents to the jurisdiction and venue of those courts.
Nothing in this section prevents either party from seeking urgent injunctive or equitable relief to protect confidential information, intellectual property, security or data rights.
24. United States Legal Compliance
You may not use the Service in violation of applicable United States export controls, sanctions or trade restrictions.
You represent that you are not prohibited from accessing or using the Service under applicable United States law.
25. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Service, legal requirements or business practices.
If we make material changes, we will provide reasonable notice through the Website, the Service, email or another appropriate communication method before the changes become effective, where required or appropriate.
The updated Terms will identify the date of the latest revision.
Your continued use of the Service after revised Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to revised Terms, you must stop using the Service and, where applicable, cancel your Subscription.
26. Severability
If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its intent. The remaining provisions will continue in full force and effect.
27. Waiver
A failure by EigenH to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Any waiver must be in writing and signed by an authorized representative of EigenH.
28. Assignment
You may not assign or transfer your rights or obligations under these Terms without EigenH’s prior written consent.
EigenH may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets or similar corporate transaction.
29. Entire Agreement and Order of Precedence
These Terms, together with the Privacy Policy and any documents expressly incorporated by reference, constitute the agreement governing general access to and use of the Service.
For Clinic Customers with separate signed agreements, the following order of precedence applies in the event of conflict:
- A signed Business Associate Agreement governs matters relating to PHI;
